Welcome to LitaBuzz!

LitaBuzz offers a tool for online creators and their supporters. These Terms of Service (hereinafter referred to as the "Terms") are a binding legal agreement between you and Battuta Technology PTE. Ltd., with offices at 8 burn road #04-04 Trivex, Singapore ("LitaBuzz", "we", "us", or "our").

We hereby remind you to read the Terms carefully and fully understand the terms and conditions contained herein. If you register, access or use the Services, you are deemed to have read, understood and agreed to be bound by these Terms.

ARBITRATION NOTICE: THESE TERMS CONTAIN AN ARBITRATION CLAUSE AND A WAIVER OF RIGHTS TO BRING A CLASS ACTION AGAINST US. EXCEPT FOR CERTAIN TYPES OF DISPUTES MENTIONED IN THAT ARBITRATION CLAUSE, YOU AGREE THAT DISPUTES BETWEEN YOU AND US WILL BE RESOLVED BY MANDATORY BINDING ARBITRATION, AND YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS-ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

1. Limitation to the Use of Our Services

You may use our Service only if you are eighteen (18) years of age (or other age as required by local law), can legally form a binding contract with us, and are only in compliance with these Terms and all applicable laws. Any use or access by anyone under the age of eighteen (18) is strictly prohibited, and we assume no liability for any use of our Service by any such person.

If you’re accessing our Services on behalf of a legal entity (like your employer), you hereby agree and represent to us that you have the authority to bind that entity to these terms, and "you" and "your" will refer to that entity.

You cannot use our Service if it would cause LitaBuzz to violate Singapore sanctions, and by agreeing to these Terms, you represent to us that you are not a sanctioned party, in a sanctioned country, or otherwise subject to Singapore sanctions. Our Services are also not available to any Users who are previously removed from any of Our Services for violating our terms, or to any persons barred from using our services under the laws of Singapore or applicable laws in any other jurisdictions. You may not use our service for any illegal or unauthorized purpose nor may you, in the use of the Service, violate any laws in your jurisdiction.

2. Your Account

You can browse our Service (e.g. give support or tips to other Users through LitaBuzz link he/she post) without registering for an account. However, to use some of our features, you need to create an account or login with your Lita Account. You will be asked to give us certain information, including an email address, your date of birth, username, and password, to register an account. When you do that, the information you provide to us shall be accurate and complete. Don’t impersonate anyone else or choose names that are offensive or that violate anyone’s rights.

Your account is limited to your access and use of our Services only, you shall not share your account with or transfer your account to anyone else. You agree that you are solely responsible (to us and to others) for the activity that occurs under your account.

3. Our Services

LitaBuzz provides the Service that can be used by you to receive or give support or tips ("support"). LitaBuzz only facilitates the transaction process between the Recipient (a User that receives support or tips) and the Giver (a User that gives support or tips).

As a Recipient, you can display LitaBuzz links in the content page that you post, and receive supports from the Giver. You agree that:

Use LitaBuzz in good faith and will not violate the Terms, Privacy Policy, other rules, and all applicable laws and regulations.
Fulfill your obligations to the Giver (if any), and LitaBuzz may provide your contact information to Giver if we receive a complaint from the Giver regarding any obligations from you that failed to fulfill.
Withdrawal is only made available once the money that Recipient received from Giver via LitaBuzz ("earnings") is completed and beyond the processing period (The period will be shown in the LitaBuzz). You are asked to fill in accurate information for the purpose of withdrawal. We will not responsible for disbursement errors due to inaccurate information.
We will charge the transaction and service fees from each withdrawal. For security concerns, we may temporarily disable your ability to withdraw the earnings to prevent fraudulent or illicit activity. This may come as a result of security issues, improper behavior reported by other users, or associating multiple user accounts to a single withdrawal provider.
We reserve the right to inspect, freeze, postpone, and/or cancel the withdrawal of earnings if there is an indication of the Terms violation, manipulation, fraud and/or crime. We have the right to request the User's identity (ID/Passport) for the inspection process, and request a refund of excess funds that have been disbursed to the Recipient due to any such behavior conducted by the Recipient or Giver.

As a Giver, you can give the support or tips through LitaBuzz links posted by the Recipient. You agree and acknowledge that:

You are 18 years old or other age as required by local law, and fully responsible for the activities that you do. When you give support to the Recipient through LitaBuzz, you shall provide us with your username, email address or other information to receive the certificate of payment, whether you register an account or not.
You may bear the transaction fees and other expenses (if any), such as foreign exchange loss, when you give your support or tips to Recipient.
Money you have given to the Recipient including the transaction fees and other expenses you bear via LitaBuzz is final and non-refundable. You shall request it directly to the Recipient rather than LitaBuzz, if you want your money back for some reason.

4. Prohibited Conduct

You agree not to violate any applicable regulations, the Terms, other rules we announce, or other third-party rights (including but not limited to Intellectual Property), not to commit torts. You are solely responsible for your conduct while accessing or using our Services. You agree that you will not do any activities or post contents that:

Impersonate any person or entity, misrepresent your affiliation with any person or entity, or access accounts of others without permission, forge another person’s identity, or content of information transmitted via the Services, or perform any other similar fraudulent activity;
Interfere with or disrupt the Services or servers or networks connected to the Services, or disobey any requirements, procedures, policies or regulations of networks connected to the Services; use the Services in any manner that could interfere with, disrupt, negatively affect or inhibit other users from fully enjoying the Services, or that could damage, disable, overburden or impair the functioning of the Services in any manner;
Attempt to circumvent any content filtering techniques we employ, or attempt to access any service or area of the Services that you are not authorized to access;
Upload, transmit, distribute, store or otherwise make available in any way:

any material which is defamatory of any person, obscene, profane, offensive, pornographic, hateful or inflammatory;

any material that would constitute, encourage or provide instructions for a criminal offence, dangerous activities or self-harm;

any material that is deliberately designed to provoke or antagonize people, especially trolling and bullying, or is intended to harass, harm, hurt, scare, distress, embarrass or upset people;

any material that contains a threat of any kind, including threats of physical violence;

any material that is racist or discriminatory, including discrimination on the basis of someone’s race, religion, age, gender, disability or sexuality;
Reverse engineer, decompile, disassemble, decipher or otherwise attempt to derive the source code for the Services or any related technology that is not open source;
Engage in any illegal or potentially illegal ( as determined by us) activity or transaction, including sale, advertisement, promotion, money laundering, transacting to yourself etc.;
Gamble, or provide gambling information or induce others to gamble in any way;
Violate the intellectual property rights of LitaBuzz or others, including copyrights, patents, trademarks, trade secrets or other proprietary rights;
Otherwise violates laws and regulations, The Terms, Privacy Policy, other rules or any additional terms concerning a specific service that are provided when you sign up for or start using such service.

To the extent permitted by applicable law, we take no responsibility and assume no liability for any behavior conducted by User or for any loss or damage resulting therefrom, nor are We liable for any mistakes, defamation, slander, libel, omissions, falsehoods, obscenity, pornography, or profanity you may encounter when using Our Services. Your use of Our Services is at your own risk.

In addition, these rules do not create any private right of action on the part of any third party or any reasonable expectation that Our Services will not contain any content that is prohibited by such rules. We are not liable for any statements or representations included in any behavior conducted by User. We do not endorse any behavior conducted by User, opinion, recommendation, or advice expressed therein, and We expressly disclaim any and all liability in connection with any behavior conducted by User.

5. Intellectual Property; Ownership

Our Services are owned and operated by Us. Unless otherwise indicated, all content, information, and other materials on Our Services (excluding the content generated by you), including, without limitation, Our trademarks, logo, copyrights, patents, visual interfaces, graphics, design, creative contents, compilation, information, software, computer code (including source code or object code), services, text, pictures, information, data, sound files, other files, and the selection and arrangement thereof (collectively, the "Materials") are protected by relevant intellectual property and proprietary rights and laws.

All Materials are the property of LitaBuzz or its subsidiaries or affiliates and/or third-party licensors. Unless otherwise expressly stated in writing by Us, by agreeing to these Terms, you are granted a limited, non-transferable license to access and use Our Services for your personal use or internal business use only. LitaBuzz reserves all rights not expressly granted in these Terms of Service. This license is subject to these Terms of Service and does not permit you to engage in: i) resale or commercial use of Our Services or Materials; ii) distribution, public performance, or public display of any Materials; iii) modifying or otherwise making any derivative uses of Our Services or Materials, or any portion of them; iv) use of any data mining, robots, or similar data gathering or extraction methods; v) downloading (except page caching) of any portion of Our Services, Materials, or any information contained in them, except as expressly permitted by Us; or vi) any use of Our Services or Materials except for their intended purposes. Any use of Our Services or Materials, except as specifically authorized in these Terms, without Our prior written permission, is strictly prohibited and may violate intellectual property rights or other laws.

You grant to us and our business partners the permission, free, permanent, irrevocable, unrestricted, non-exclusive and fully sub-licensable rights and license, without any territorial or time limitations and without requiring any approvals and/or compensations, to use, copy, publish, translate, edit, dispose, create derivate works of, distribute, perform and publicly display such content (in whole or in part), and/or incorporate the content you upload to LitaBuzz into existing or future forms of work, media or technology. You warrant that any content that you submit to LitaBuzz will not violate the rights of third parties, including but not limited to trademark rights, copyright rights, and rights of publicity and privacy, or violate any applicable law, statute, ordinance, treaty, or regulation, whether local, state, provincial, national, or international. You acknowledge and agree that we are not responsible or liable for such content. You also agree to waive and not to enforce any moral rights, ancillary rights, or similar rights in or to such content against us or our licensees, distributors, agents, representatives, and other authorized users and agree to procure the same agreement to waive and not to enforce from others who may possess such rights.

6. Termination

To the fullest extent permitted by applicable law, we reserve the right, without notice and at Our sole discretion, to terminate your license to use Our Services (including to post User-Generated Content) and to block or prevent your future access to and use of Our Services, including where we reasonably consider that: i) your use of Our Services violates these Terms or applicable law; ii) you fraudulently use or misuse Our Services; or iii) we are unable to continue providing Our Services to you due to technical or I legitimate business reasons. Our right to terminate your license includes the ability to delete or terminate or suspend your account and/or your earnings. To the fullest extent permitted by applicable law, your only remedy with respect to any dissatisfaction with: Our Services, any term of these Terms, any of Our policies or practices in operating Our Services, or any content or information transmitted through Our Services, is to terminate your account and to discontinue use of any and all parts of Our Services.

If you wish to close your account, you can do so by applying for an account closure through Lita App, or contact us for help.

We hereby kindly remind you that once your LitaBuzz account is terminated by us or you, we will delete or de-identification your relevant information. You will be also unable to access your Lita account and use Lita’s Service.

7. Force Majeure

In no event shall LitaBuzz be responsible or liable for any failure or delay in the Services of its obligations hereunder arising out of or caused by, directly or indirectly, forces beyond its control, including, without limitation, strikes, work stoppages, accidents, global pandemic, acts of war or terrorism, civil or military disturbances, nuclear or natural catastrophes or acts of God, and interruptions, loss or malfunctions of utilities, communications or computer (software and hardware) services; it being understood that the LitaBuzz shall us se reasonable efforts which are consistent with accepted practices in the relevant industry to resume performance as soon as practicable under the circumstances.

8. Indemnification

To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Us, Our affiliated companies, and each of our respective contractors, employees, officers, directors, agents, third-party suppliers, licensors, and partners (individually and collectively, "Our Parties") from any claims, losses, damages, demands, expenses, costs, and liabilities, including legal fees and expenses, arising out of or related to your access, use, or misuse of Our Services, any content you post, store, or otherwise transmit in or through Our Services, your violation of the rights of any third party, any violation by you of these Terms, or any breach of the representations, warranties, and covenants made by you herein. You agree to promptly notify Our Parties of any third-party claim, and We reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify Us, and you agree to cooperate with Our defense of these claims. We will use reasonable efforts to notify you of any such claim, action, or proceeding upon becoming aware of it.

9. Disclaimers

To the fullest extent permitted by applicable law: (a) our services and the content and materials contained therein are provided on an "as is" basis without warranties of any kind, either express or implied, except as expressly provided to the contrary in writing by us; (b) our parties disclaim all other warranties, statutory, express, or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement as to our services, including any information, content, or materials contained therein; (c) we do not represent or warrant that the content or materials on our services are accurate, complete, reliable, current, or error-free; (d) we are not responsible for typographical errors or omissions relating to text or photography; and (e) while we attempt to make your access and use of our services safe, we cannot and do not represent or warrant that our services or our server(s) are free of viruses or other harmful components, and therefore, you should use industry- recognized software to detect and disinfect viruses from any download. No advice or information, whether oral or written, obtained by you from us or through our services will create any warranty not expressly stated herein.

10. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall LitaBuzz or its subsidiaries and affiliates be liable for any special, incidental, indirect, or consequential damages whatsoever (including, without limitation, damages for loss of business profits, business interruption, loss of business information, or any other pecuniary loss) however caused and on any legal or equitable theory of liability, and whether or not for breach of contract, negligence or otherwise, even if LitaBuzz has been advised of the possibility of such damages. These limitations will apply notwithstanding any breach of condition(s) or fundamental term(s) or for a fundamental breach(s).

11. Governing Laws and Dispute Resolution

You agree that our Services are located in Singapore for all legal and non-legal purposes. These Terms will be interpreted under and governed by the laws and legal principles of Singapore without regard to conflicts of laws, principles, or statutes.

Any disputes arising out of or in connection with our Services shall be brought to the courts in Singapore. Singapore International Arbitration Centre Rules govern the interpretation and enforcement of this dispute- resolution provision. The arbitration will be initiated through the Singapore International Arbitration Centre ("SIAC"). If the SIAC is not available to arbitrate, the parties will select an alternative arbitral forum. The rules of the arbitral forum will govern all aspects of this arbitration, except to the extent those rules conflict with these Terms.

Waiver of Class or Consolidated Actions. ALL CLAIMS AND DISPUTES WITHIN THE SCOPE OF THIS ARBITRATION AGREEMENT MUST BE ARBITRATED OR LITIGATED ON AN INDIVIDUAL BASIS AND NOT ON A CLASS BASIS. CLAIMS OF MORE THAN ONE CUSTOMER OR USER CANNOT BE ARBITRATED OR LITIGATED JOINTLY OR CONSOLIDATED WITH THOSE OF ANY OTHER CUSTOMER OR USER. If, however, this waiver of class or consolidated actions is deemed invalid or unenforceable, neither you nor we are entitled to arbitration.

12. Changes to These Terms

In order to improve your user experience or enhance product safety performance, we may modify our Services from time to time. We may amend any of the Terms by posting the amended terms. Your continued use of our Services after the effective date of the revised Terms of Service will be deemed as you have read and agreed to be bound by the updated Terms.

13. Miscellaneous

Heading. The headings of all terms are for reference purpose only, have no actual meanings themselves, and shall not be used as a basis for interpreting the meanings of these Terms.

Severability. If any provision of these Terms is held to be unlawful, void, or for any reason unenforceable, then that provision will be limited or eliminated from these Terms to the minimum extent necessary and will not affect the validity and enforceability of any remaining provisions.

No waiver. If we fail to exercise or enforce any right or provision of these Terms, it will not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by the relevant party.

Languages. If these Terms are made in English. We may provide these Terms in other languages in the future for your reference. In case of any discrepancy, the English version hereof shall prevail.

Assignment. These Terms, and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by Us without restriction. Any assignment attempted to be made in violation of these Terms shall be void.

Survival. Upon termination of these Terms, any provision which, by its nature or express terms should survive, will survive such termination or expiration.

Entire agreement. These Terms, including other Rules we may post, is the entire agreement between you and Us relating to the subject matter herein and will not be modified except by a writing signed by authorized representatives of both parties, or by a change to these Terms made by Us as set forth in Section 12.

All requests for information or documents related to potential, anticipated, or current legal proceedings, investigations, or disputes must be made using the appropriate level of legal process, and must be properly served. All requests must include the information you may have that will help us identify the relevant records (particularly, the username at issue), the specific information requested, and its relationship to your investigation.
